Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of ProperTradie, including our website at propertradie.com.au and our application at app.propertradie.com.au (together, the "Service").

By creating an account, accessing the Service or using any part of ProperTradie, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

If you are using ProperTradie on behalf of a business or other organisation, you represent that you have authority to bind that organisation to these Terms. In that case, "you" and "your" refer to that organisation.

Eligibility and Authority

You must be at least 18 years old and capable of entering into a binding agreement to use ProperTradie. The Service is intended for use by Australian contractors and trade businesses.

You must provide accurate registration information and keep your account details up to date. You are responsible for ensuring that anyone who accesses the Service through your account has your permission to do so and complies with these Terms.

If you register on behalf of a company, partnership or other business entity, you represent that you are authorised to act for that entity and that the entity accepts these Terms.

Description of the Service

ProperTradie provides software for Australian contractors and trade businesses. The Service includes tools for quoting, invoicing, jobs, expenses, customer management, feedback and AI-assisted administrative features, along with related functionality that may be added or updated over time.

ProperTradie is a software platform. We do not provide trade, accounting, legal or financial advisory services. Features such as online payments, SMS delivery and document sharing may depend on third-party services, your configuration and your eligibility to use those services.

ProperTradie may also offer optional features such as automated monthly business record exports emailed to your company address. Where offered, such features are provided to help you maintain your own records and may be enabled or disabled through your account settings.

We may add, change or remove features from time to time. We will use reasonable efforts to maintain a reliable service, but the scope and availability of features may vary as the product develops.

User Accounts and Account Security

To use most features of ProperTradie, you must create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You must notify us promptly at support@propertradie.com.au if you become aware of any unauthorised access to your account or any other breach of security.

We may suspend or restrict access to an account if we reasonably believe your credentials have been compromised or your account is being used in breach of these Terms.

Subscription Fees and Billing

Certain features of ProperTradie require a paid subscription. Unless otherwise stated at the time of purchase, ProperTradie Pro Monthly is billed on a recurring monthly basis at the price shown at checkout or within the app.

Web subscriptions may be processed through Stripe. Subscriptions purchased through the Apple App Store are managed by Apple, including billing, renewals and cancellations through your Apple account settings.

We may also offer ProperCredits or similar add-ons as separate one-time purchases from time to time. The price, scope and availability of such purchases will be shown at the point of sale.

You are responsible for keeping your payment details current and for managing your subscription through the correct billing provider. If a payment fails, we may suspend access to paid features until payment is resolved.

All fees are stated in Australian dollars unless otherwise indicated. Prices may change, but we will give you reasonable notice of any price change that affects your current subscription before it takes effect, in accordance with applicable law and the terms of your billing provider.

Free Trials

ProperTradie offers a 14-day free trial when you download from the App Store. Free trial periods are limited to one per business unless we expressly agree otherwise in writing. We may change, limit or withdraw free trial offers at any time.

At the end of a free trial, your access to paid features may end unless you subscribe. If your trial converts to a paid subscription automatically, the terms shown at sign-up and the policies of your billing provider will apply.

User Responsibilities

You are responsible for the content you create, upload or store in ProperTradie, including your business records, quotes, invoices, job details, expenses and customer information.

You are solely responsible for the accuracy, completeness and legality of quotes, invoices and other documents you issue to your customers, including pricing, descriptions, terms and conditions.

You are responsible for your own tax treatment and GST obligations. ProperTradie does not determine how you should account for tax, and you should seek professional advice where needed.

You must comply with all applicable Australian laws and regulations in your use of the Service, including consumer protection, privacy, workplace and trade-related requirements.

You are responsible for maintaining your own copies of important business records. While ProperTradie provides tools to store and export data, you should not rely on the Service as your only record-keeping system.

AI Features

ProperTradie may offer AI-assisted features to help you draft quotes, invoices, job notes or other administrative content. AI outputs are provided as assistance only and are not a substitute for your own professional judgement.

You must review all AI-generated content before using, sending or relying on it. AI suggestions may be incomplete, inaccurate or unsuitable for your circumstances.

ProperTradie does not guarantee the accuracy, completeness or legal compliance of AI-generated suggestions. AI features may produce errors, and outputs may not reflect current prices, regulations or your specific business requirements.

You remain solely responsible for all decisions, documents and communications you create or send using AI assistance. You must verify AI outputs and ensure they are appropriate before sharing them with customers, employees or third parties.

Customer Data and Ownership

You retain ownership of the customer data, business records and other content you enter or upload into ProperTradie ("User Content").

You grant ProperTradie a non-exclusive licence to use, store, process and display User Content solely as necessary to provide, maintain, secure and improve the Service, comply with law and support you in using ProperTradie.

This licence continues for as long as we need to hold User Content to provide the Service and for a reasonable period afterwards to comply with legal obligations, resolve disputes and enforce our agreements.

ProperTradie may create anonymised and aggregated data derived from use of the Service that does not identify you or your customers. We may use such data for analytics, product improvement and reporting.

Acceptable Use

You must use ProperTradie lawfully and in accordance with these Terms. You must not use the Service for any illegal activity, fraud or harassment.

You must not attempt to gain unauthorised access to the Service, other users' accounts or our systems. You must not probe, scan or test the vulnerability of the Service except with our prior written consent.

You must not reverse engineer, decompile or disassemble any part of the Service, except to the extent permitted by applicable law that cannot be excluded.

You must not introduce malicious code, viruses or harmful material into the Service, or use the Service in a way that could damage, disable or impair ProperTradie or other users.

You must not resell, sublicense or provide access to the Service to third parties without our prior written permission.

You must not use public links, messaging features or customer-facing pages to defraud, mislead or harass others.

Third-Party Services

ProperTradie relies on third-party providers to operate the Service. These may include Supabase for authentication and database services, Cloudflare for hosting and file storage, Stripe for payment processing, Apple for in-app subscriptions, RevenueCat for subscription management, Twilio for SMS and verification services, and Resend for email delivery.

Your use of third-party services may be subject to separate terms, policies and fees imposed by those providers. ProperTradie is not responsible for third-party services and does not control how those providers handle your information.

The third-party providers we use may change from time to time. Where a third-party service is integral to a feature you use, interruption or changes to that provider may affect availability of that feature.

Availability and Maintenance

ProperTradie is provided on an "as available" basis. While we aim to keep the Service running reliably, we do not guarantee uninterrupted or error-free operation.

The Service may occasionally be unavailable due to scheduled maintenance, upgrades, outages or circumstances beyond our reasonable control. We may perform maintenance with or without notice where reasonably necessary.

We are not liable for any loss or inconvenience arising from downtime, delays or interruptions to the Service, except where liability cannot be excluded under applicable law.

Intellectual Property

ProperTradie owns all rights, title and interest in the Service, including the software, platform, branding, design, documentation and other content we provide, excluding User Content.

These Terms do not transfer any ownership rights in ProperTradie to you. You receive a limited, non-exclusive, non-transferable right to access and use the Service in accordance with these Terms for the duration of your subscription or authorised use.

You must not copy, modify, distribute or create derivative works based on ProperTradie except as expressly permitted by these Terms or applicable law.

Privacy

Our collection and use of personal information is described in our Privacy Policy, available at propertradie.com.au/privacy. By using the Service, you acknowledge that we will handle personal information as described in that policy.

You are responsible for obtaining any notices, consents or other permissions required under applicable law before collecting, storing or processing personal information about your own customers or other individuals through ProperTradie.

You must not upload or share personal information through the Service in breach of privacy laws or in a way that violates the rights of others.

Suspension and Termination

We may suspend or terminate your access to the Service, in whole or in part, if we reasonably believe you have breached these Terms, engaged in illegal activity, failed to pay applicable fees, or if we have security concerns relating to your account or use of the Service.

Where reasonably practicable, we will notify you of a suspension or termination and give you an opportunity to remedy a breach, except where immediate action is necessary to protect the Service, other users or third parties.

You may cancel your subscription or close your account at any time through your account settings or the billing provider that manages your subscription. Cancellation takes effect according to the policies of your billing provider and the terms shown at sign-up.

On termination, your right to access the Service ends. We may retain certain information as described in our Privacy Policy and as required by law. You should export any records you need before closing your account.

Disclaimers

ProperTradie is software only. We provide tools to help you manage your trade business, but we do not run your business for you.

ProperTradie is not an accounting service, legal service or financial adviser. Nothing in the Service constitutes professional advice. You should obtain independent advice for accounting, tax, legal and financial matters.

ProperTradie does not guarantee that your customers will pay invoices, approve quotes or respond to requests. We are not responsible for payment collection, customer disputes or the commercial outcomes of your business activities.

ProperTradie is not responsible for business decisions you make using the Service, including decisions based on AI-generated suggestions, reports or exports.

To the extent permitted by law, the Service is provided without warranties of any kind, whether express or implied, other than those that cannot be excluded under the Australian Consumer Law or other applicable legislation.

Limitation of Liability

Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy under the Australian Consumer Law or other applicable legislation that cannot lawfully be excluded.

If the Australian Consumer Law or similar laws apply and permit liability to be limited, our liability for breach of a non-excludable guarantee is limited, at our option, to the re-supply of the relevant services or the cost of having those services supplied again.

To the fullest extent permitted by law, ProperTradie is not liable for any indirect, consequential or special loss or damage, including loss of profits, revenue, goodwill, data or business opportunity, arising from or in connection with your use of the Service.

To the fullest extent permitted by law, our total aggregate liability to you for any claim arising from or relating to these Terms or the Service is limited to the total amount you paid to ProperTradie for the Service during the twelve months immediately before the event giving rise to the claim.

You acknowledge that this limitation of liability is a reasonable allocation of risk given the nature of the Service and the fees charged.

Changes to the Terms

We may update these Terms from time to time to reflect changes in our services, legal requirements or business practices.

When we make changes, we will publish the updated Terms on our website at propertradie.com.au and within the Service. The "Last updated" date at the bottom of this page will be revised accordingly.

Where required by law, we will provide additional notice of material changes. Your continued use of ProperTradie after updated Terms are published constitutes your acceptance of the changes, unless otherwise required by applicable law.

Governing Law

These Terms are governed by the laws of New South Wales, Australia. You submit to the non-exclusive jurisdiction of the courts of New South Wales and the courts of Australia that have jurisdiction to hear appeals from those courts.

If you are a consumer under the Australian Consumer Law, you may also have rights under the laws of the state or territory in which you live, and nothing in these Terms is intended to limit those rights where they cannot be excluded.
